August 17, 2010Hunting PLC announced that it had acquired Innova Electronics Inc. and its sister company Extel Precision Machining Inc. in an all cash transaction with a purchase price of US $125 million. Simmons & Company International represented Hunting in this transaction.
August 16, 2010Nabors Industries and Superior Well Services announced that they have entered into a definitive agreement whereby Nabors will acquire Superior Well Services. Nabors will commence a tender offer for all of the outstanding shares of Superior common stock at a price of $22.12 per share in cash. Simmons & Company International is representing Superior in this transaction.

August 5, 2010UGI Corporation completed the sale of Atlantic Energy a wholly owned subsidiary to DCP Midstream Partners. Simmons & Company International served as financial advisor to UGI.
July 27, 2010OFS Energy Services, a portfolio company of ArcLight Capital Partners agreed to sell certain subsidiaries and assets to Key Energy Services, Inc. for a cash and stock consideration totaling approximately $220 million. Simmons & Company International served as financial advisor to OFS and ArcLight in this transaction.
July 9, 2010Acteon Group Ltd. announced that it had acquired IOS Offshore AS from Norse Cutting & Abandonment AS. Simmons & Company International Limited represented Acteon in this transaction.

May 17, 2010Gibson Energy ULC announced it had completed the acquisition of the outstanding membership interests and other equity securities of Taylor Companies LLC as well as certain assets of Taylor Propane Gas Inc. from Taylor Logistics LLC. Taylor logistics LLC is a portfolio company of The Halifax Group. Simmons & Company International served as financial advisor to the Halifax Group.
April 30, 2010Reelwell AS announced that Lime Rock Partners has agreed to invest NOK 50 million in the company with further funds available for follow–on investment. Simmons & Company International Limited advised Reelwell AS in this transaction.
April 21, 2010Vallourec announced that it had reached agreement to acquire Serimax, a provider of integrated welding solutions for offshore line pipes. Purchase price is €150 million . Simmons & Company International Limited represented Serimax in this transaction.
April 12, 2010Aberdeen–based Nautronix and its Chief Executive Officer, Mark Patterson, announced the acquisition of Nautronix by SCF Partners and members of its management team. Simmons & Company International Limited provided corporate finance advice to Nautronix.

The equity was provided by LongVue Capital and the company’s existing debt was restructured, the combined transactions facilitating future growth of Blue Dot. Simmons & Company International represented Blue Dot in this transaction.
January 23, 2010Gridpoint, Inc. has entered into an agreement to acquire Standard Renewable Energy. Simmons & Company International is acting on behalf of Standard Renewable Energy in this transaction.
January 13, 2010St.Mary Land & Exploration Company announced that it had agreed to sell Rocky Mountain oil properties in two separate transactions. Legacy Reserves Operating LP will acquire properties in Wyoming in a $130 million transaction that is expected to close in February. A private buyer will acquire North Dakota properties for $137 million. That transaction is expected to close in March 2010. Simmons & Company International represented St Mary in this divestiture program.
January 8, 2010Maven Capital Partners and Simmons Parallel Energy Fund have backed a management buy-in at Aberdeen-based Electro–Flow Controls. The new management team will be led by Bob Will whose complementary business Celeris will be merged in enabling the combined company to provide advanced controls and mechanical handling solutions to the energy industry. Simmons & Company International Limited represented Electro-Flow Controls in this transaction.
January 8, 2010Private equity group LDC has made a £17 million equity investment in Subocean Group as part of a £42 million financing. The subsea construction company is now one of the largest providers of services to the marine renewable sectors in Scotland and the UK and will use the investment to expand its operations. Simmons Parallel Energy Fund also participated in this financing. Simmons & Company International Limited initiated this transaction and served as financial advisor to Subocean.
January 8, 2010Transocean Ltd. announced that it had completed the sale of two deepwater rigs, GSF Arctic II and GSF Arctic IV. Simmons & Company International represented Transocean in this transaction.
December 11, 2009Superior Energy Services, Inc. (NYSE: SPN) announced that it has entered into an agreement with Hallin Marine Subsea International Plc (AIM: HMS) to acquire Hallin for a price of 233 pence in cash per Hallin share. The Offer values Hallin at approximately $168 million. Hallin is an international provider of integrated subsea services and engineering solutions, focused on installing, maintaining and extending the life of subsea wells. December 2, 2009Sandridge Energy Inc. priced an offering of 24 million shares of common stock at $8.85 per share. Simmons & Company International acted as a co–manager for this offering.

January 28, 2009Encore Energy Partners (ENP) completed the acquisition of certain oil and natural gas producing properties in the Arkoma Basin and royalty interest properties primarily in Oklahoma from Encore Acquisition Company. Also included in the purchase was 10,300 unleased mineral acres. Griffis & Associates LLP and Simmons & Company International acted as financial advisors to ENP’s Conflicts Committee and Simmons & Company International delivered a fairness opinion in connection with the transaction.
January 6, 2009On December 12, 2008 Baker Hughes acquired the assets of North East Mud Services Company L.L.C. (NEMSco), the leading drilling fluids provider in Appalachia. Simmons & Company International represented NEMSco in this transaction.
December 19, 2008Hunting PLC completed the sale of Gibson Energy Holdings Inc. a Canadian subsidiary to a company ultimately owned by Riverstone/Carlyle Global Energy and Power Fund an energy focused private equity fund managed by Riverstone Holdings LLC. August 29, 2008Petrofac announced that it had acquired Caltec Limited for an initial consideration of £15 million . A further consideration of up to £15 million will be payable over the next 5 years subject to the achievement of certain agreed performance targets . July 23, 2008XTO Energy announced it had agreed to purchase 12,900 net acres adjacent to its exisiting operations in the Barnett Shale core for appproximately $800 million from an undisclosed third party. The acquisition will also add 35 million cubic feet of natural gas equivalent per day to the Company's production. Simmons & Company International represented the Seller in this transaction.
May 7, 2008Horizon Energy Partners BV has been acquired by SGS for an undisclosed amount. Simmons & Company International Limited advised the Horizon shareholders.
April 25, 2008Simmons & Company International Limited has raised 87.5 million euros at the first closing of its private equity co-investment fund-Simmons Parallel Energy L.P. The fund will focus on buy-out and growth capital opportunities across the energy sector investing in minority positions alongside other private equity firms. Bank of Scotland is the fund's cornerstone investor.

March 31, 2008LMS Capital plc announced that it had sold its entire holding in Energy Cranes International Limited to a management team backed by Close Brothers Private Equity. The transaction valued Energy Cranes at PDs 142 million and net proceeds to LMS were PDs 83 million. Simmons & Company International Limited acted on behalf of LMS Capital.

February 15, 2008Offshore Ltd. has received a tender offer from Fortune Super Equity Management LLC for all of its outstanding shares at 80 Norwegian kroner per share. The Board of Directors of Scorpion has indicated that it supports the tender offer which is conditional on receiving acceptances for 90% of the outstanding shares of Scorpion. Simmons & Company International is acting as an advisor to Scorpion Offshore.

November 27, 2007Transocean Inc. announced the closing of its reclassification and merger transaction with GlobalSantaFe Corporation. Shares of Transocean will continue to be listed on the New York Stock Exchange under the trading symbol "RIG". Simmons & Company International provided a fairness opinion to GlobalSantaFe in connection with this transaction.
November 26, 2007Hercules Offshore, Inc. announced that it had entered into agreements with Petrex Sudamerica Sucursal de Venezuela S.A. and Saipem Perfuracoes e Construcoes Petroliferas Lda. (collectively, "Saipem") for the sale of its nine land rigs and related assets ("Land Assets"). The Land Assets include six land rigs in Venezuela, one in Trinidad, and two in the United States. The purchase price is approximately $107 million and the transaction is expected to close late in the fourth quarter of 2007. Simmons & Company International is representing Hercules in this transaction.

September 12, 2007Triton Group announced the acquisition of UK Project Support Limited (UKPS) and its sister company Subco for an undisclosed amount . UKPS supplies ROV and technical personnel to the subsea oil and gas construction industry worldwide and Subco is a specialist in the rental of ROV equipment. Coller Capital is a leading global investor in private equity secondaries and coporate venture assets. February 5, 2007Technip announced the sale of Perry Slingsby Systems consisting of all of the capital of PSS Ltd. and PSS Inc. two companies which manufacture Remotely Operated Vehicles and other subsea equipment. The purchaser was Triton Group Holdings ,an affiliate of SCF Partners, a private equity company. Simmons & Company International Limited acted for Technip in this divestiture.

December 19, 2006Allis-Chalmers Energy Inc. announced that it had completed the acquisition of substantially all of the assets of Oil & Gas Rental Services Inc., a Louisiana-based corporation providing rental tools to offshore and onshore exploration and production companies.
